Your use of Integral Development’s products and services constitutes your agreement to these terms and conditions.
Commercial Conditions
Payment Terms
50% of the contract fee will be invoiced on receipt of client agreement or sign off. The entire value of coaching work will be invoiced on completion of the first coaching session. The remaining value of the services will be invoiced in the month of delivery or as otherwise agreed. Payment is due within fourteen (14) days of the date of invoice. A late payment fee of 5% of the invoice amount will be charged for all invoices that are unpaid within forty four (44) days from date of invoice.
Currency of Quotation
A quotation shall remain current for three (3) months from the date of issue. After that date, we reserve the right to alter the costs of the quotation as necessary.
Withdrawal of 360° Survey Participants
Variations to the number of 360° survey participants are to be advised to Integral Development prior to the commencement of the online feedback process. Participants withdrawn after the commencement but before the closing of the survey process will be charged 50% of the total cost. Participants withdrawn after the closing of the survey will be charged the full cost. All variations to participant numbers are to be advised in writing.
Cancellation of Coaching Sessions
Cancellations or changes to scheduled coaching appointments must be made at least 24 hours in advance. Sessions that are cancelled with less than 24 hours notice will be invoiced at 50%.

We understand that circumstances change and clients may be forced to cancel or change dates. We make every effort to meet client needs and wherever we can, to be flexible. However it is our policy to charge a cancellation fee of 50% of the contract fee for consulting, training and facilitation services cancelled after work is committed to.

All publications and/or materials may not be digitised, photocopied, or otherwise reproduced, posted, or transmitted, in whole or in part, without the prior written permission of Integral Development.
Intellectual Property
Intellectual property rights means any and all registered and unregistered intellectual property rights anywhere in the world including without limitation, all copyright, trade secrets, patents, patent applications, trade markers, domain names, business names and design rights. This agreement does not transfer to the client any title to or interest in any of the services or of any intellectual property rights in any or any part of any of those things.
The client acknowledges and agrees that Integral Development owns all of its intellectual property rights which: a) Are in existence as at the date of the agreement or come into existence after the date of the agreement; b) Have been rejected by the client prior to or during the course of the agreement;
Integral Development may grant the client a licence to use the intellectual property owned by Integral Development for such purpose as expressly agreed in writing by Integral Development.
Our Policies
Privacy & Confidentiality
It is our policy to maintain your privacy when you use our services. We will keep all personal details confidential, however we may use your contact details to contact you in future. We will not sell or pass on your details to third parties, except where they act as consultants or coaches for Integral Development and the information is required to deliver the goods or services you have requested from us. Additionally, we will maintain the confidentiality of the client organisation, participants and raters involved in the 360˚ process. Specific information relating to nominated raters, participant results, survey data and the content of coaching sessions is confidential unless agreed to and stated otherwise at the commencement of the 360˚ process. We will not provide copies of reports to anyone other than the participant unless agreed to and stated otherwise at the commencement of the 360˚ process. Paper questionnaires will be destroyed one month after reports have been returned to participants.
Occupational Safety and Health
We are committed to ensuring the safety and health of all employees, consultants and others involved in the provision of our services. If applicable, we expect our clients to provide a safe and healthy environment for Integral Development employees, consultants and others involved in the provision of these services. This includes having an effective OSH policy and procedures and appropriate public liability insurance cover.
Environmental Sustainability
We adopt practices and procedures that help maintain and improve the environment. Recycling, minimising paper-use, carbon offsetting, efficient lighting and heating practices are part of the way we work and provide our services.
